Dealer Agreement
This Dealer Agreement (“Agreement”) is made between the user (“Dealer,” “You,” or “Your”) and The Floorplan Guy (“Company,” “We,” “Us,” or “Our”) and governs your access to and use of the Dealer Exchange, Vehicle Exchange Portal, and any related tools or services offered through TheFloorplanGuy.com (“Site”).
By accessing or using these pages, submitting vehicle listings, or engaging in any dealer-to-dealer communication through this Site, you acknowledge that you have read, understood, and agree to be bound by this Agreement, along with our Terms of Use, Disclaimer, and Privacy Policy.
1. Eligibility
You represent that you are a licensed automobile dealer in good standing with all applicable state and local laws. You agree that all vehicles listed by you or your dealership are owned or legally consigned to your business and that you have full authority to sell or represent those vehicles.
2. Accuracy and Truthfulness of Information
You agree that all information, descriptions, images, and representations provided in your vehicle listings are complete, truthful, and accurate to the best of your knowledge.
You further agree not to post any misleading, false, or deceptive information, and to promptly correct or remove any listing found to contain inaccuracies.
3. Responsibility for Transactions
You understand and agree that The Floorplan Guy is not a party to any vehicle transaction between dealers.
All sales, purchases, negotiations, inspections, payments, and title transfers are conducted directly between the buyer and the seller.
You are solely responsible for verifying all details, negotiating terms, and ensuring full compliance with applicable laws governing wholesale transactions.
The Floorplan Guy does not handle, process, or facilitate any payments or funds between dealers and assumes no liability for any disputes, losses, or damages arising from such transactions.
4. Dealer Conduct
You agree to use this Site in a professional and lawful manner, consistent with the integrity and ethics expected within the automotive industry.
You agree not to use the platform to:
- Post any offensive, fraudulent, or misleading content;
- Solicit or spam other users;
- Share login credentials or attempt to access another dealer’s account;
- Engage in any conduct that could harm the reputation or operations of The Floorplan Guy or its dealer community.
We reserve the right to remove any listing or suspend access at our sole discretion for violations of this Agreement or any activity deemed harmful to the community.
5. Limitation of Liability
The Floorplan Guy, its owners, affiliates, and representatives shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to your use of the Site, listings, or dealer communications.
This includes, without limitation, damages related to lost profits, loss of data, misrepresentations, or disputes between dealers.
6. Indemnification
You agree to indemnify, defend, and hold harmless The Floorplan Guy, its owners, affiliates, and representatives from any claims, losses, damages, liabilities, or expenses (including attorney’s fees) resulting from:
- Your use of the Site,
- Your vehicle listings or communications, or
- Your breach of this Agreement or any applicable law.
7. Termination
We reserve the right to suspend or terminate your access to the Site or any associated services at any time, without notice, for violation of this Agreement or for conduct detrimental to the platform or its users.
8. Modifications
We may update or modify this Agreement at any time. The latest version will always be available on this Site. Continued use of the platform after updates constitutes acceptance of the revised terms.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate courts of Miami-Dade County, Florida.
10. Acknowledgment
By checking the “I Agree” box, posting a vehicle, or using the Dealer Exchange platform, you acknowledge that you have read and agree to be bound by this Dealer Agreement, along with our Terms of Use, Disclaimer, and Privacy Policy.
